Algemene Leveringsvoorwaarden
Xplore-X
Artikel 1: Definities
1.1 Xplore-X: De opdrachtnemer, gevestigd te Lage Giessen 20C in Hoornaar, die trainingen, coaching, consultancy-diensten en interim-opdrachten aanbiedt.
1.2 Opdrachtgever: De natuurlijke persoon of rechtspersoon die een overeenkomst sluit met Xplore-X.
1.3 Overeenkomst: Iedere schriftelijke afspraak tussen Xplore-X en de opdrachtgever met betrekking tot de levering van diensten.
1.4 Diensten: Alle door Xplore-X aangeboden activiteiten, zoals trainingen, coaching, consultancy interim-opdrachten en maatwerkprogramma’s.
Artikel 2: Toepasselijkheid
2.1 Deze algemene voorwaarden zijn van toepassing op alle offertes, overeenkomsten en geleverde diensten door Xplore-X, tenzij schriftelijk anders is overeengekomen.
2.2 Afwijkingen van deze voorwaarden zijn alleen geldig als deze schriftelijk door beide partijen zijn bevestigd.
Artikel 3: Offertes en Overeenkomst
3.1 Offertes van Xplore-X zijn 30 dagen geldig, tenzij anders vermeld.
3.2 De overeenkomst komt tot stand nadat de opdrachtgever schriftelijk akkoord heeft gegeven op de offerte of opdrachtbevestiging.
3.3 Wijzigingen in de opdracht zijn alleen bindend indien deze schriftelijk zijn overeengekomen.
Artikel 4: Annulering
4.1 Annulering door de opdrachtgever:
- Bij annulering tot 30 dagen voor de startdatum: 25% van de kosten worden in rekening gebracht.
- Bij annulering tussen 14 en 30 dagen voor de startdatum: 50% van de kosten worden in rekening gebracht.
- Bij annulering binnen 7 dagen voor de startdatum: 100% van de kosten worden in rekening gebracht.
4.2 Annulering door Xplore-X:
- Xplore-X behoudt zich het recht voor om een sessie te verplaatsen bij overmacht of ziekte van de trainer/consultant. In overleg wordt een nieuwe datum vastgesteld of een vervangende trainer ingezet.
Artikel 5: Levering van Diensten
5.1 Xplore-X spant zich in om de diensten naar beste inzicht en vermogen uit te voeren.
5.2 Voor interim-opdrachten geldt dat de werkzaamheden worden uitgevoerd op basis van de overeengekomen uren en voorwaarden zoals gespecificeerd in de offerte of overeenkomst.
5.3 Deelnemers aan fysieke trainingen verklaren fysiek in staat te zijn deel te nemen en nemen deel op eigen risico.
5.4 Trainingsmaterialen blijven eigendom van Xplore-X, tenzij schriftelijk anders is overeengekomen.
Artikel 6: Betalingsvoorwaarden
6.1 Facturen dienen binnen 14 dagen na factuurdatum te worden voldaan, tenzij anders overeengekomen.
6.2 Bij trajecten langer dan één dag, maatwerktrajecten of interim-opdrachten wordt 50% van de totale kosten als voorschot gefactureerd.
6.3 Bij interim-opdrachten wordt gefactureerd op basis van maandelijkse urenregistratie, tenzij anders overeengekomen.
6.4 Bij niet-tijdige betaling is de opdrachtgever wettelijke rente verschuldigd vanaf de vervaldatum van de factuur. Daarnaast worden administratiekosten à €25 per herinnering in rekening gebracht.
Artikel 7: Aansprakelijkheid
7.1 Xplore-X is niet aansprakelijk voor schade als gevolg van:
- Onjuiste of onvolledige informatie verstrekt door de opdrachtgever.
- Letsel of schade ontstaan tijdens deelname aan fysieke activiteiten, tenzij sprake is van opzet of grove nalatigheid.
7.2 De aansprakelijkheid van Xplore-X is in alle gevallen beperkt tot het factuurbedrag van de betreffende opdracht.
Artikel 8: Vertrouwelijkheid
8.1 Beide partijen verplichten zich tot geheimhouding van alle vertrouwelijke informatie die zij in het kader van de overeenkomst verkrijgen.
8.2 Xplore-X behoudt zich het recht voor om anonieme gegevens te gebruiken voor kwaliteitsverbetering en analyses.
Artikel 9: Toepasselijk Recht
9.1 Op alle overeenkomsten is het Nederlands recht van toepassing.
9.2 Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar Xplore-X is gevestigd.

Xplore-X
Article 1: Definitions
1.1 Xplore-X: The contractor, located at Lage Giessen 20C in Hoornaar, offering training, coaching, consultancy services, and interim assignments.
1.2 Client: The natural person or legal entity entering into an agreement with Xplore-X.
1.3 Agreement: Any written arrangement between Xplore-X and the client regarding the delivery of services.
1.4 Services: All activities offered by Xplore-X, such as training, coaching, consultancy, interim assignments, and customized programs.
Article 2: Applicability
2.1 These general terms and conditions apply to all quotes, agreements, and services provided by Xplore-X, unless otherwise agreed in writing.
2.2 Deviations from these terms are only valid if confirmed in writing by both parties.
Article 3: Quotes and Agreement
3.1 Xplore-X quotes are valid for 30 days, unless stated otherwise.
3.2 The agreement is established after the client has given written approval of the quote or assignment confirmation.
3.3 Changes to the assignment are only binding if agreed upon in writing.
Article 4: Cancellation
4.1 Cancellation by the client:
- For cancellation up to 30 days before the start date: 25% of the costs will be charged.
- For cancellation between 14 and 30 days before the start date: 50% of the costs will be charged.
- For cancellation within 7 days before the start date: 100% of the costs will be charged.
4.2 Cancellation by Xplore-X:
- Xplore-X reserves the right to reschedule a session in case of force majeure or illness of the trainer/consultant. In consultation, a new date will be set or a replacement trainer will be deployed.
Article 5: Delivery of Services
5.1 Xplore-X strives to perform the services to the best of its insight and ability.
5.2 For interim assignments, work is carried out based on agreed hours and conditions as specified in the quote or agreement.
5.3 Participants in physical training declare they are physically capable of participating and do so at their own risk.
5.4 Training materials remain the property of Xplore-X, unless otherwise agreed in writing.
Article 6: Payment Terms
6.1 Invoices must be paid within 14 days of the invoice date, unless otherwise agreed.
6.2 For trajectories longer than one day, customized trajectories, or interim assignments, 50% of the total costs will be invoiced as an advance.
6.3 Interim assignments are invoiced based on monthly time tracking, unless otherwise agreed.
6.4 In case of late payment, the client owes legal interest from the due date of the invoice. Additionally, administrative costs of €25 per reminder will be charged.
Article 7: Liability
7.1 Xplore-X is not liable for damage resulting from:
- Incorrect or incomplete information provided by the client.
- Injury or damage occurring during participation in physical activities, unless there is intent or gross negligence.
7.2 The liability of Xplore-X is in all cases limited to the invoice amount of the relevant assignment.
Article 8: Confidentiality
8.1 Both parties commit to the non-disclosure of all confidential information obtained in the context of the agreement.
8.2 Xplore-X reserves the right to use anonymous data for quality improvement and analysis.
Article 9: Applicable Law
9.1 Dutch law applies to all agreements.
9.2 Disputes will be submitted to the competent court in the district where Xplore-X is located.
